CLASSIFIEDS Terms of Use This CLASSIFIED ADVERTISING DISCLOSURE (herein referred to as “Disclosure”) is entered into as of July 7, 2012 by and between Research Stir, SPC, Washington State, (herein referred to as “RESEARCH STIR”), and User of the RESEARCH STIR CLASSIFIEDS, (herein referred to as “User”). Conditions, Terms of Participation and Disclaimers User agrees not to make use of anyone else’s information other than is necessary to participate in the RESEARCH STIR CLASSIFIEDS and to complete any CLASSIFIED transactions. There is no agency, partnership, joint venture, employer-employee, or franchise-franchisee relationship between RESEARCH STIR and any User of this service. The CLASSIFIEDS Terms of Use is subject to change at any time without notice. No provisions contained herein shall change any other contracts or policies between RESEARCH STIR and its members. Any failure of RESEARCH STIR to exercise and enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provisions. Additionally, if any provisions of these Terms of Use are found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties intentions as reflected in the provisions and any other provisions of these Terms of Use shall remain in full force and effect. RESEARCH STIR is not a party to any transaction between any individual or entity who uses the CLASSIFIEDS. Users assume all risks, including the risk that they may be dealing with a person or entity who may be acting under false pretenses. The CLASSIFIEDS is a venue only and does not screen, censor or otherwise control the listings offered by other Users, except that inappropriate listings or listings not in compliance with the Terms herein will not be posted. Nor does RESEARCH STIR, censor or otherwise control Users of this service. RESEARCH STIR cannot and does not control the behavior of the participants on this site. We cannot control whether Users of the CLASSIFIEDS will complete the transaction they describe on our site. It is extremely important that Users use care throughout their dealings with other people. By accepting the Terms of Use and using this site, Users release RESEARCH STIR, its officers, employees, agents, and successors, from any obligation or liability, demand and damages of every kind and nature, known or unknown, arising out of or in any way related to the use of or any transaction relating to this site. Any use of the CLASSIFIEDS shall be for lawful purposes only. Any transmission, distribution, or storage of material or conduct in violation of any applicable local, state, federal or foreign law or regulation is prohibited. This includes, but is not limited to, any unauthorized use of material protected by patent, copyright, trademark or other intellectual property rights; material that is obscene, profane, sexually explicit, defamatory, or libelous; material that constitutes an illegal threat, violates the rights of privacy or publicity, or violates export control laws; sale or exchange of any firearms; or unsolicited email or service placing advertisements (“SPAM”). RESEARCH STIR prohibits the listing or sale of any goods, the sale of which constitutes a violation of any applicable law, statute, ordinance or regulation. All forms of SPAM, and all activities that have the effect of facilitating SPAM are strictly prohibited. Users are ultimately responsible to make certain that donating, exchanging or buying or selling an item or service is legal according to the law. Many materials used in biomedical research are regulated by federal and local governments. Federal and local governments regulated materials and hazardous or dangerous goods (including regulated biological materials) may pose a danger to health, safety or property while being transported. Such materials are subject to Department of Transportation (DOT) or International Air Transport Association (IATA) shipping regulations. Many of such goods cannot be shipped through the mail or commercial carrier at all and such items are not permitted on Research Stir. Many biological materials sent to and from research facilities are not regulated by DOT and require no special labeling or packaging. Examples include cells, reagents, enzymes, DNA, RNA, proteins, and antibodies that are not designated as being infectious. Such items are permitted on RESEARCH STIR. Some hazardous materials may legally be transported under certain conditions if they are properly packaged and labeled. Such items are also permitted on RESEARCH STIR. In such cases RESEARCH STIR requires that the listing contains a clear notice of the hazardous nature of the material, and a description of the planned method of shipping that complies with the law. U.S. Postal Service Publication 52 gives details on particular hazardous substances and transportation requirements in the US and internationally, you should also enquire DOT Help Desk 1-800-467-4922 for necessary information. User is responsible to check and to comply with the specific requirements for shipping of such materials by the USPS and other carriers. Anyone shipping hazardous materials is required to receive DOT/IATA training. RESEARCH STIR (its officers, members, employees, agents and subsidiaries) shall not be liable under no circumstances in any way for any loss or damage of any kind incurred as a result of User non compliance with federal and local law and with carrier shipping requirements concerning regulated and hazardous materials. RESEARCH STIR’s purpose and intent is to provide free exchange, buy and sell classified ad services to RESEARCH STIR USERS. RESEARCH STIR restricts the placement of business related ads, including ads which would or could compete with the core business of RESEARCH STIR. RESEARCH STIR core business services include, but are not limited to; providing an online platform for scientific research support, resourcing, collaboration and publishing. The restriction on business related ads extends to any attempts by businesses or organizations to sell goods or services for profit or fund raising purposes. RESEARCH STIR will maintain a User’s listing on the CLASSIFIEDS for a period of 30 days beginning on the date of submission. It is the User’s responsibility to delete his or her listings once the item has been donated, exchanged or sold or the item is effectively no longer “available” within the six-week time frame. If RESEARCH STIR, in its sole discretion, determines that a violation of the Terms of Use has occurred, RESEARCH STIR may immediately delete the offending material from its site, cancel the account of the offending party and any related parties, exclude said parties from further participation in the site, and pursue any other legal remedies that it may have. RESEARCH STIR reserves the right to refuse service to anyone at any time, to remove any listings or any advertising for any reason, and to take any action that it believes is necessary or prudent to minimize or eliminate any potential liability, including but not limited to the release of any User information to the appropriate law enforcement or governmental agency. Said actions may be taken without notice to any User. User gives RESEARCH STIR a non-exclusive, worldwide royalty-free, irrevocable, sub-licensable (through multiple tiers) right to exercise copyright and publicity rights, in any existing or future media, known or unknown, over the material or User data displayed in User’s listing or bids. “User data” shall mean all information submitted by you. Any User data, including data which can be reasonably used to identify a specific individual such as their name, address, phone number, etc., shall be deemed to be the property of RESEARCH STIR. User shall take all reasonable efforts to ensure that said data is accurate and complete and not misleading in any way. DISCLAIMER: This site is provided by RESEARCH STIR on an “as is” basis. RESEARCH STIR makes no representations or warranties of any kind, express or implied, as to the operation of the CLASSIFIEDS, the information, content, materials or products, included on the CLASSIFIEDS. To the full extent permissible by applicable law, RESEARCH STIR disclaims all warranties, expressed or implied, including but not limited to, implied warranties of merchantability and fitness for a particular purpose. RESEARCH STIR will not be liable for any damages of any kind arising from the use of the CLASSIFIEDS, including but not limited to direct, indirect, incidental, punitive, and consequential damages. Additionally, RESEARCH STIR makes no warranty that this service will meet User’s requirements, that the service will be uninterrupted, timely, secure, or error free. Nor does RESEARCH STIR make any warranty as to the results obtained from the use of the service or as to the accuracy or liability of any information obtained from this service. User understands and agrees that any information or material and/or goods or services obtained through the service is done at User’s own discretion and risk and that User will be solely responsible for any damages resulting from any transaction. No advice or information, whether oral or written, obtained by User from RESEARCH STIR or through or from the service shall create any warranty not expressly stated herein. User agrees, if User observes any violation of the above Terms of Use by anyone using said site, that User shall contact RESEARCH STIR and report said abuse or disregard of the Terms of Use. The RESEARCH STIR CLASSIFIEDS web service is operated and provided in the State of Washington. As such, we are subject to the laws of the State of Washington, and such laws will govern this Terms of Use, without giving effect to any choice of law rules. We make no representation that our website or other services are appropriate, legal or available for use in other locations. Accordingly, if you choose to access our site you agree to do so subject to the internal laws of the State of Washington.
